FREELANCE SERVICES AGREEMENT

This Agreement ("Agreement") is entered into as of [Date] between Client Corp LLC ("Client") and the undersigned independent contractor ("Contractor").

5. INTELLECTUAL PROPERTY ASSIGNMENT

The Contractor irrevocably assigns to Client all right, title, and interest in any and all intellectual property, including but not limited to ideas, concepts, techniques, inventions, derivative works, and future developments conceived during or related to the engagement period — including work created using Contractor's pre-existing tools and frameworks.

6. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.
